1. Acceptance of Terms
By engaging Zambezi Digital ("Company," "we," "us," or "our") for any services, you ("Client") agree to be bound by these Terms and Conditions. If you do not agree, you must not engage our services.
These terms apply to all services provided by Zambezi Digital across Africa and internationally.
2. Our Services
Zambezi Digital provides the following digital services across Africa:
- Website design and development
- Social media management and content creation
- Search engine optimisation (SEO)
- Digital advertising (Meta/Google Ads)
- Branding and logo design
- Video and content production
- AI-powered digital tools and automation
Specific deliverables, timelines, and pricing are agreed upon per project in a separate proposal or contract.
3. Payment Terms
3.1 Pricing
All prices are quoted and invoiced in USD (United States Dollars) unless explicitly agreed otherwise in writing.
3.2 Payment Schedule
- A non-refundable deposit of 50% is required to commence work on any project
- The remaining balance is due upon project completion before final files are delivered
- Monthly retainer services are billed at the start of each month
3.3 Late Payments
Invoices unpaid after 14 days may incur a 5% late fee. We reserve the right to pause work on overdue accounts.
3.4 Refunds
Deposits are non-refundable. If a project is cancelled by the Client after work has commenced, payment is due for all work completed to date.
4. Intellectual Property
4.1 Client Content
The Client retains ownership of all content, logos, images, and materials provided to us. By providing content, the Client warrants they have the right to use and share said materials.
4.2 Deliverables
Upon receipt of full and final payment, ownership of the agreed deliverables transfers to the Client. Until full payment is received, all work remains the intellectual property of Zambezi Digital.
4.3 Portfolio Rights
Zambezi Digital reserves the right to display completed work in its portfolio and marketing materials unless the Client specifically requests otherwise in writing.
5. Client Responsibilities
The Client agrees to:
- Provide all necessary materials, content, and approvals in a timely manner
- Designate a single point of contact for project communications
- Review and approve work within agreed timeframes
- Ensure all content provided does not infringe third-party rights
- Pay all invoices on time per the agreed schedule
Delays caused by the Client may result in revised timelines and potentially additional costs.
6. Project Delivery
Estimated delivery timelines are provided in good faith and are not guaranteed unless stated explicitly in a signed contract. Timelines may be affected by:
- Delays in Client feedback or approvals
- Scope changes requested mid-project
- Force majeure events
- Third-party service delays (hosting providers, payment gateways, etc.)
7. Revisions and Scope Changes
Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions beyond this scope will be quoted and billed separately.
Significant changes to the project scope ("scope creep") after commencement may require a revised proposal and additional fees.
8. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary information shared during the course of the engagement. Neither party will disclose confidential information to third parties without prior written consent, except where required by law.
9. Termination
9.1 Termination by Client
The Client may terminate the agreement with 30 days written notice. Payment is due for all work completed up to the termination date. Non-refundable deposits are retained.
9.2 Termination by Zambezi Digital
We reserve the right to terminate services if the Client: fails to pay invoices; provides false information; requests work that violates laws or ethical standards; or engages in abusive behaviour toward our team.
10. Limitation of Liability
To the maximum extent permitted by law, Zambezi Digital's total liability for any claims arising from our services shall not exceed the amount paid by the Client for the specific service giving rise to the claim.
We are not liable for: indirect or consequential losses; loss of business or revenue; data loss; third-party service failures; or events beyond our reasonable control.
11. Governing Law
These Terms and Conditions are governed by applicable laws across the African jurisdictions in which we operate. Any disputes will be resolved through good-faith negotiation, followed by mediation if necessary.
